Web Site Design Terms and Conditions

Definitions:

"you", "your", "the customer", "the client" = person or other legal entity ordering the web site.

"us", "Cymru 1", "Cymru 1 Limited", "our", "we"= Cymru 1 Limited

Payment

Payment for ShopWindow sites must be made by the customer in full before work on the site commences. For other site design services, a 25% deposit will be required from the customer before work commences, with the balance being payable within 14 days of the finished site being delivered. Delivery will be via email or, for a large site, by post on CD-ROM. Alternatively, if the customer provides details of an FTP account, delivery can be direct to the hosting site.

Copyright of all sites created by Cymru 1 Limited remain with Cymru 1 Limited unless and until paid for in full, at which point copyright will be deemed to have transferred to the customer. In the event of Cymru 1 Limited determining that a fraudulent transaction has taken place and that we are asked to refund monies used to pay for a site, the passing of copyright to the customer will be deemed null and void and will be retained by Cymru 1 Limited.

Customer satisfaction

If the customer is not satisfied by the site produced by Cymru 1 Limited on their behalf then at Cymru 1's discretion it will refund the customer's deposit and no balance will be payable. The copyright of the site will not be transferred to the customer in such a case.

Delivery times

When accepting an order for a web site, Cymru 1 will provide the customer with an estimated delivery date. Cymru 1 Limited, nor anyone else involved in the creating, producing or delivering of the web site accepts no responsibility for loss of business, shall not be responsible any direct, indirect, incidental, special or consequential damages arising out of late delivery.

General

NEITHER CYMRU 1 NOR ITS INFORMATION PROVIDERS, LICENSORS, EMPLOYEES OR AGENTS WARRANT THAT THE SITE DELIVERED WILL BE ERROR FREE; NOR DOES CYMRU 1 OR ANY OF ITS INFORMATION PROVIDERS, LICENSORS, EMPLOYEES OR AGENTS MAKE ANY WARRANTY AS TO THE RESULTS TO BE OBTAINED FROM THE USE OF THE SITE.

NEITHER CYMRU 1 NOR ANYONE ELSE INVOLVED IN CREATING, PRODUCING OR DELIVERING THE SITE OR RELATED SERVICES SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF THE SITE OR SERVICES OR THE INABILITY TO USE THE SITE OR SERVICES OR OUT OF ANY BREACH OF ANY WARRANTY; IT BEING UNDERSTOOD, HOWEVER, THAT THIS DISCLAIMER AND LIMITATION OF LIABILITY WILL NOT APPLY TO THE EXTENT SUCH LIABILITY IS INCAPABLE OF EXCLUSION, RESTRICTION OR MODIFICATION UNDER THE LAWS APPLICABLE TO THESE TERMS AND CONDITIONS. YOU AGREE THAT YOU WILL NOT IN ANY WAY HOLD CYMRU 1 RESPONSIBLE FOR ANY SELECTION OR RETENTION OF, OR THE ACTS OR OMISSIONS OF, THIRD PARTIES IN CONNECTION WITH THE SERVICES.

You agree to indemnify and hold Cymru 1, its information providers, licensors, employees and agents harmless in connection with any controversy or legal action arising from the existence of the web site, including but not limited to controversies or legal action over domain name selection and web site content.

These terms and conditions are non-transferable. These terms and conditions constitute the entire agreement between the you and Cymru 1 and shall be interpreted under the laws of England and Wales without reference to conflict of law principles. If any term in this agreement is found to be invalid of unenforceable, it shall be deleted from this agreement and the remaining terms of the agreement shall continue in full force and effect.
